1. Acceptance of Terms
By accessing or using ProperHire (the "Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.
2. The Service
ProperHire acts as a venue to connect homeowners ("Users") with home improvement professionals ("Contractors").
Important: ProperHire is not a general contractor, subcontractor, or construction manager. We do not perform, direct, or supervise any construction work. We are not responsible for the quality, safety, or legality of the services provided by Contractors.
3. For Homeowners
Due Diligence: While we verify that Contractors hold a valid license and insurance at the time of their onboarding, credentials can change or expire. You are solely responsible for verifying a Contractor’s current license status and insurance coverage before hiring them.
Payments: Any agreements, contracts, or payments are strictly between you and the Contractor. ProperHire is not a party to these agreements and is not responsible for payment disputes.
4. For Contractors
Accuracy: You represent and warrant that all information provided in your profile—including licensing, insurance, and service areas—is accurate and current.
Professional Conduct: You agree to perform all work in a professional manner, compliant with all local building codes and regulations.
Independence: You acknowledge that you are an independent service provider and not an employee, agent, or partner of ProperHire.
5. Prohibited Activities
Users of the Platform agree not to:
- Use the service for any illegal purpose or in violation of any local, state, or federal law.
- Harass, threaten, or defraud other users.
- Post false, misleading, or defamatory content (including fake reviews). Attempt to reverse engineer or hack the Platform.
6. Disclaimers and Limitation of Liability
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, ProperHire disclaims all warranties, express or implied.
Limitation of Liability: In no event shall ProperHire be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your relationship with a Contractor or Homeowner found through the Platform. Our total liability for any claim arising out of these terms shall not exceed the amount you paid to us (if any) for the use of the Platform in the past 12 months.
7. Termination
We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles.
9. Changes to Terms
We reserve the right to modify these terms at any time. We will notify users of any significant changes by updating the "Last Updated" date at the top of this page. Your continued use of the Platform constitutes acceptance of those changes.
